Archiving: Licensor to provide one copy in a mutually-acceptable format (or grant permission to make one copy) of any Licensed Materials holdings that are sold to another publisher/provider or upon termination. This is for purchased materials, not subscriptions. Licensee may engage services of third-party trusted archives. Licensor to grant permission to trusted third-party archival system software to collect and preserve the Licensed Materials. Yes, LOCKSS, Portico, or other shared online archive. Yes, Upon cancellation in DVD-ROM or other appropriate media.
Perpetual Access: Yes. Note: For purchased Licensed Materials, not subscriptions. See note for Archiving. Licensee is authorized to make further copies in perpetuity as it may deem necessary for archival preservation, refreshing or migration - including to other formats, as long as it does not violate Agreement rights. If access through the Credo Reference platform will be required to pay a hosting fee.

Breach instructions: Licensee to cooperate with Licensor in investigation of any unauthorized use and to use reasonable efforts to remedy such unauthorized use and prevent its recurrence. Licensor may terminate access after first providing reasonable notice (but not less than two weeks). If unauthorized use is causing serious material harm, Licensor may temporarily suspend an individual Authorized User's access and immediately notify Participating Member Institution - including the reason for the block and supporting details. The breaching party shall have thirty (30) days from receipt of notice to cure the alleged breach and notify the non-breaching party in writing that cure has been effected. If not cured within thirty (30) day period, Agreement may be terminated.
