Perpetual Access: Yes. Note: The Licensor would provide perpetual access to the database in the form of metadata, with the agreement that access to the metadata would be limited to the Licensee's network only. The following costs would apply: Termination by Licensee If the Licensee terminates the subscription after one year, the Licensee would pay the cost of 5 annual subscriptions in order to receive a copy of the metadata. If the Licensee terminates the subscription after two years, the Licensee would pay the cost of 4 annual subscriptions in order to receive a copy of the metadata. If the Licensee terminates the subscription after three years, the Licensee would pay the cost of 3 annual subscriptions for in order to receive a copy of the metadata. If the Licensee terminates the subscription after four years, the Licensee would pay the cost of 2 annual subscriptions in order to receive a copy of the metadata. If the Licensee terminates the subscription after five years, the Licensee would pay the cost of 1 annual subscription in order to receive a copy of the metadata. Termination by Licensor If the subscription to the database is terminated by the Licensor for any reason, the Licensor will provide the metadata to the Licensee upon receipt of payment of 10% of the cost of a one-year subscription, plus a handling fee.
