Breach instructions: As soon as possible upon becoming aware of any unauthorized use or other breach, inform Publisher and take all reasonable steps including disciplinary action, both to ensure that such activity ceases and to prevent any recurrence. Licensee hereby acknowledges that the business of Publisher is dependent upon Publisher's intellectual property rights in the Licensed Materials, and that any infringement thereof constitutes a fundamental breach of this Agreement, in which event the Publisher reserves the right to deny access immediately if unauthorized use is detected or suspected; however, denial of access will be limited, to the extent practicable, to the IP address(es) from which the activity originated. The Publisher agrees to notify promptly the Licensee of any denial of access and to restore access to the affected IP address(es) within one business day of successful resolution of the situation or if all reasonable actions to correct the breach have been taken. Failure to take reasonable steps to terminate unauthorized activity within thirty days of written notice from the Publisher of such activity or repeated usage violation will be deemed a material breach of this Agreement.
